Research output: Contribution to journalArticleAcademicpeer-review

Abstract

What is the role of Dutch (central) works councils in light of the corporate governance regime applicable to multinational corporations (MNCs) in the Netherlands? And how are rules regarding the involvement of Dutch works councils in MNCs on corporate governance aspects applied in practice? This article discusses the position of Dutch (central) works councils in both Dutch and foreign MNCs and their involvement in the appointment of supervisory board members under the so-called structure regime based on empirical data collected in 2014-2016. The article also studies the issue of potential undue influence in the composition of the supervisory board in the case of the application of a (mitigated) structure regime.
